Session description: With a record number of transactions, Mergers and Acquisitions continue to be an area of strategic growth for large corporate companies. The adoption of Transaction Risk Insurance (R&W Insurance, Tax Insurance, etc...) has continued to grow in North America, and have been a widely used strategy for both financial and corporate investors to transfer risk in M&A transactions. Transactional Risk Insurance has implications to the risk management strategy of a corporation, namely understanding the limitation of the Insurance Policy and how it affects a company's available recourse post-closing. The session would be a combined session led by BFL and Aon, along with M&A Counsel (Miller Thompson) and clients, exploring the transactional risk process, the limitations of the product, and the importance of engagement by the risk management community.
